SEC Transfer Agent Rule Update Targets Blockchain Infrastructure
The Securities and Exchange Commission has proposed a comprehensive modernization of transfer agent rules that have remained largely unchanged since the 1980s. The new proposal directly addresses blockchain-based recordkeeping, tokenized securities, and increasingly automated market infrastructure—marking an explicit regulatory acknowledgment that digital asset settlement may play a role in U.S. securities markets.
The scope of the update reflects structural shifts in how securities could be recorded, transferred, and settled. By proposing rules that accommodate blockchain technologies, the SEC is establishing a framework for potential onchain securities infrastructure without mandating its adoption. The proposal does not establish immediate requirements but creates regulatory guardrails for how transfer agents—entities responsible for maintaining security holder records—would operate in a blockchain-enabled environment.
